Terms of Service

Introduction

These Terms of Service ("Terms," "Agreement") govern your access to and use of the website, products, and services provided by ALI-JOX INC dba FM Group ("FM Group," "we," "us," or "our"), with its principal place of business at 240 Maple Wreath Ct, Abingdon, MD 21009-2776. By accessing this website, requesting a quote, or engaging FM Group for any service, you ("Customer," "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree with any portion of these Terms, you must not use this website or our services.

1. Description of Services

FM Group provides logistics back-office support services to motor carriers, owner-operators, and logistics companies operating within the United States. Our services include, but are not limited to:

  • Dispatch Services — load sourcing, broker negotiation, rate confirmation, and route planning.
  • HR & Compliance Services — driver recruiting, DQ file management, drug & alcohol consortium administration, and DOT audit support.
  • Fleet Management Services — preventive maintenance scheduling, IFTA/IRP filings, permits, and ELD oversight.
  • Updater Services — real-time check calls, broker tracking updates (Macropoint, Trucker Tools), and shipper/consignee communication.

FM Group does not own or operate trucks, hold operating authority, or transport freight directly. We act exclusively as an administrative and back-office service provider on behalf of the Customer's authority.

2. Eligibility & Authority

You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you are authorized to enter into a binding contract on behalf of yourself or the entity you represent; (c) you hold valid USDOT and/or MC operating authority where applicable; and (d) you maintain commercial auto liability and cargo insurance in amounts compliant with federal and state regulations.

3. Service Agreement & Fees

All engagements are subject to a written Service Agreement, dispatch carrier agreement, or signed quote that specifies the scope of services, fees, billing cadence, and term. Standard commercial terms include:

  • Dispatch fees are typically charged as a percentage of gross load revenue, agreed in writing prior to service commencement.
  • HR, fleet, and updater services are billed as flat monthly retainers or per-driver/per-truck fees as specified in the Service Agreement.
  • Invoices are due Net 7 days from issuance unless otherwise stated.
  • Past-due balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
  • Customer is responsible for all collection costs, including reasonable attorney's fees, on delinquent accounts.

4. Customer Responsibilities

Customer agrees to:

  • Provide accurate, current, and complete information regarding fleet, drivers, equipment, insurance, and operating authority.
  • Maintain compliance with all applicable federal (FMCSA, DOT), state, and local regulations.
  • Promptly respond to dispatch, HR, and compliance communications during agreed business hours.
  • Pay all freight charges, broker advances, fuel, tolls, and operational expenses directly — FM Group does not advance funds on behalf of Customer.
  • Communicate any change in authority status, insurance lapse, or driver status without delay.

5. Carrier Responsibility & Cargo Liability

Customer acknowledges that as the motor carrier of record, the Customer remains solely responsible for the safe and lawful transportation of all freight, including all cargo claims, accidents, and regulatory violations. FM Group is not the carrier and assumes no liability for cargo loss, damage, delay, or service failure.

Cargo and liability claims must be noted at the point of delivery and submitted in writing to the responsible carrier and broker within fifteen (15) days of delivery in accordance with the Carmack Amendment (49 U.S.C. § 14706) and the carrier's applicable insurance policies.

6. Cancellation, Rescheduling & No-Show

Once a load has been booked and a rate confirmation issued in Customer's name, cancellation by the Customer may result in:

  • A truck-order-not-used (TONU) charge passed through from the broker.
  • A $75.00 rescheduling fee for any pickup or delivery that the Customer fails to complete as scheduled.
  • A $150.00 service fee for any vehicle reported operational that is, in fact, non-operational at pickup.

FM Group reserves the right to discontinue service immediately if Customer repeatedly cancels loads, becomes unreachable during dispatch hours, or otherwise materially disrupts operations.

7. Payment Authorization

Customer agrees that all payments owed to FM Group, including reservation fees, dispatch percentages, and recurring service charges, shall be remitted only to the OFFICIAL banking and payment accounts of ALI-JOX INC dba FM Group. Customer agrees to pay all amounts due in full per the Service Agreement, without offsets, chargebacks, or reductions for any actual, pending, or unfiled claims, losses, delays, or damages between Customer and any third party.

8. Independent Contractor Relationship

FM Group performs services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employer-employee, or agency relationship between the parties beyond the limited dispatch agency expressly authorized in the Service Agreement.

9. Confidentiality

Both parties agree to hold in confidence and not disclose to any third party any non-public business information — including rates, broker relationships, driver records, and financial data — except as necessary to perform services or as required by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FM GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST FREIGHT, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

FM Group's total aggregate liability for any claim shall not exceed the total fees actually paid by Customer to FM Group in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

Customer agrees to indemnify, defend, and hold harmless FM Group, its officers, employees, and contractors from and against any claims, damages, fines, penalties, or expenses (including attorney's fees) arising out of: (a) Customer's transportation of freight; (b) Customer's violation of any law, regulation, or third-party right; (c) any inaccurate information provided by Customer; or (d) Customer's breach of these Terms.

12. Termination

Either party may terminate the Service Agreement with thirty (30) days' prior written notice. FM Group may suspend or terminate services immediately, without notice, in the event of: (a) non-payment beyond fifteen (15) days; (b) loss of operating authority or insurance; (c) fraud, misrepresentation, or unlawful activity; or (d) any material breach of these Terms.

Upon termination, all unpaid invoices become immediately due and payable. Sections 5, 7, 9, 10, 11, and 14 survive termination.

13. Website Use & Intellectual Property

All content on this website — including text, graphics, the FM Group name, logo, and trademarks — is the property of ALI-JOX INC and protected by U.S. and international copyright and trademark laws. You may not copy, reproduce, modify, distribute, or use this content without prior written permission.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Harford County, Maryland, and the parties consent to personal jurisdiction therein. Both parties waive any right to a jury trial.

15. Force Majeure

FM Group shall not be liable for any delay or failure to perform caused by events outside its reasonable control, including acts of God, weather, accidents, government action, labor disputes, pandemics, infrastructure failures, or third-party service provider outages.

16. Waiver of Defenses

The Customer waives any claims or defenses based in whole or in part on not having read, not knowing, or not understanding these Terms. Continued use of FM Group's services after notice of any modification constitutes acceptance of the modified Terms.

17. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email to active customers or posted on this website with a revised "Last Updated" date. Continued use of our services after changes take effect constitutes binding acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any signed Service Agreement and rate confirmations, constitute the entire agreement between the parties and supersede all prior negotiations, understandings, and agreements regarding the subject matter.

20. SMS Communications (Text Messaging Terms)

By providing your mobile phone number on the contact form and checking the SMS consent box, you expressly consent to receive recurring transactional and informational text messages from FM Group / ALI-JOX INC, including but not limited to: dispatch updates, load status notifications, appointment reminders, service inquiries, account-related alerts, and follow-up messages regarding your inquiry.

  • Message frequency: Message frequency varies based on your engagement with FM Group services and may be higher during active dispatch periods.
  • Message and data rates: Standard message and data rates from your wireless carrier may apply. FM Group does not charge for the SMS service itself.
  • Opt-out: You can opt-out of receiving text messages at any time by replying STOP to any message we send. You will receive a one-time confirmation that you have been unsubscribed. After opting out, you will no longer receive SMS messages from us; however, you may continue to receive messages for a short period while the opt-out is processed.
  • Help: Reply HELP to any message, or text HELP to (443) 352-7020, to receive assistance and contact information.
  • Supported carriers: Compatible with all major U.S. wireless carriers, including AT&T, Verizon, T-Mobile, and Sprint. Carriers are not liable for delayed or undelivered messages.
  • Privacy: Your mobile information will not be shared, sold, or transferred to third parties for marketing or promotional purposes. SMS opt-in data and consent are not shared with any third parties. See our Privacy Policy for full data practices.
  • Eligibility: You must be at least 18 years old to subscribe. By opting in, you represent that the mobile number you provide is your own and that you are authorized to receive text messages at that number.

Consent to receive SMS messages is not a condition of purchasing FM Group services. Withdrawing consent will not affect your ability to engage FM Group via phone or email at (443) 352-7020 or [email protected].
